EULA - End User License Agreement

END-USER LICENSE AGREEMENT FOR THE MUSINK SOFTWARE PACKAGE, PACKAGED TEMPLATE FILES, RELATED ONLINE SERVICES, AND RELATED SUPPORT SERVICES.
IMPORTANT: PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL.
Musink-Limited's End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Musink-Limited for the Musink-Limited software product(s) identified above which may include associated software components, media, printed materials, packaged files (such as any the template files that ship with the software), updates, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the program between you and Musink-Limited, (referred to as "licenser"), and it supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT.
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.
1. GRANT OF LICENSE.
The SOFTWARE PRODUCT is licensed as follows:
(a) Installation and Use.
(a)(i)Musink-Limited grants you the right to install and use a single copy of the SOFTWARE PRODUCT on a single computer running a validly licensed copy of the operating system for which the SOFTWARE PRODUCT was designed [e.g. Windows XP, Windows Vista, Windows 7].
(a)(ii)The software is licensed on a per copy per computer basis. A computer is a physical hardware system with an internal storage device capable of running the software. A hardware partition or blade is considered to be a separate computer.
(a)(iii) Hardware or software you use to
pool connections, or
reduce the number of devices or users that directly access or use the software
(sometimes referred to as multiplexing or pooling), does not reduce the number of licenses you need.
(a)(iv) You may not host this software on a website, or through any kind of network or commercial hosting service without written permission from Musink-Limited.
(b) Backup Copies.
You may make copies of the SOFTWARE PRODUCT as may be necessary for backup and archival purposes.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
(a) Maintenance of Copyright Notices.
You must not remove or alter any copyright notices on any and all copies of the SOFTWARE PRODUCT.
(b) Distribution.
(b)(i) You may not distribute copies of the SOFTWARE PRODUCT to third parties, except in the case of 2(b)(ii). This includes parts of the SOFTWARE PRODUCT.
(b)(ii) Unmodified versions of the SOFTWARE PRODUCT may be freely distributed so long as the software being distributed is publically available download for from Musink-Limited's websites at the time of distribution. You may not charge a fee for such distribution without written permission from Musink-Limited.
(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly.
(c)(i)You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
(c)(ii) You may not reverse engineer, decompile, or disassemble any files created by or for use in the SOFTWARE PRODUCT except directly through the SOFTWARE PRODUCT itself, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
(c)(iii) You may not, in any way, modify the SOFTWARE PRODUCT except through the SOFTWARE PRODUCT itself, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. This includes, but is not limited to, product registration keys and version information regarding the SOFTWARE PRODUCT's components.
(d) Rental.
You may not rent, lease, or lend the SOFTWARE PRODUCT.
(e) Support Services.
Musink-Limited may provide you with support services related to the SOFTWARE PRODUCT ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA.
(f) Compliance with Applicable Laws.
You must comply with all applicable laws regarding use of the SOFTWARE PRODUCT.
(g) Third party code
The SOFTWARE PRODUCT may contain 3rd-party components, code, fonts, or other content which are licensed under additional agreements (SUBLICENSES). These agreements include the Microsoft Public License, the Apache 2.0 license, Open Font License versions 1.0 and 1.1 the New BSD license,and the MIT license. These licenses are available online and are packaged with the SOFTWARE PRODUCT. By agreeing to this EULA you are declaring that you have read these SUBLICENSES. You also agree to be bound by, and comply with, these SUBLICENSES in addition to this EULA. In the case that this EULA and any SUBLICENSE does not agree, this EULA supersedes that SUBLICENSE, except where that SUBLICENSE is more restrictive on your rights, imposes additional restrictions , or otherwise must take precedence as required by law.
(h) Updates, Registration, and Deactivation
(h)(i)You agree to allow the SOFTWARE PRODUCT to change its functionality through software updates in an automated fashion without restriction or delay. You understand that these software updates may deactivate or corrupt the SOFTWARE PRODUCT, rendering the SOFTWARE PRODUCT unusable. You also understand that these updates may result in irreversible data loss. You understand that functionality changes due to software updates may be temporary or permanent.
(h)(ii) The SOFTWARE PRODUCT may require registration with Musink-Limited and may be rendered inoperable until you do so. Musink-Limited reserves the right to deactivate any non-registered SOFTWARE PRODUCT without giving notice.
(h)(iii) Musink-Limited reserves the right to de-register any SOFTWARE PRODUCT for any reason whatsoever, without giving notice.
(i) Online services
(i)(i)You may not use or modify the SOFTWARE PRODUCT in any way that could conceivably harm its related online services (including the website you downloaded it from), or impair anyone else's use of those services. You may not use the SOFTWARE PRODUCT or its online services (including the website you downloaded it from), to try to gain unauthorized access to any service, data, account or network by any means.
(i)(ii) The software product may collect basic information about your computer, location, and usage information. This information includes, but is not limited to, basic information on your OS, your IP address, and usage which causes the SOFTWARE PRODUCT to malfunction. This data may be transmitted by the SOFTWARE PRODUCT to a private online service for use by Musink-Limited. This information is collected to improve Musink-Limited's services (e.g. to fix software 'bugs'), and will not be sold or intentionally shown to any third-party. This information will not be used to contact you in an unsolicited fashion. You consent to this information being transmitted and collected for an indefinite period of time.
3. TERMINATION
Without prejudice to any other rights, Musink-Limited may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must immediately destroy all copies of the SOFTWARE PRODUCT in your possession.
4. COPYRIGHT
(a) All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof are owned by Musink-Limited or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by Musink-Limited.

5. NO WARRANTIES
Musink-Limited expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness of a particular purpose. Musink-Limited does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the SOFTWARE PRODUCT. Musink-Limited makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. Musink-Limited further expressly disclaims any warranty or representation to Authorized Users or to any third party.
6. LIMITATION OF LIABILITY
In no event shall Musink-Limited be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use the SOFTWARE PRODUCT, even if Musink-Limited has been advised of the possibility of such damages. In no event will Musink-Limited be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. Musink-Limited shall have no liability with respect to the content of the SOFTWARE PRODUCT or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.
